Service Flow

1. Requirements Definition & Proposal

We conduct in-depth interviews to understand your acquisition objectives, acquisition budget, target markets, technologies, company size, key characteristics, number of employees, revenue and profitability, tolerance for losses, and preferred ownership structure (100% acquisition or majority stake of 51%+). Based on this, we define the sourcing theme, which can be adjusted at any time during the project.

2. Desktop Research

Based on the defined requirements, we research markets and companies to create a highly targeted shortlist.
Our information sources include:

・Social media
・Articles, news, and press releases
・AI-powered analysis

3. Research Report

We present the research results and ask you to evaluate your level of interest in each target company. For companies of interest, we promptly initiate outreach and arrange interview appointments.

4. Interview Research

Through interviews, we collect detailed insights that cannot be obtained from public information, including a deep understanding of services, products, and business models, as well as the target company’s willingness to consider acquisition. (For FA engagements, research focuses primarily on financial information and is conducted under an NDA.)

5. Follow-Up Interviews (Post-NDA)

Acting as a communication bridge, we conduct deeper interviews covering business models and client information, and develop synergy hypotheses and transaction structure ideas. By clearly presenting strategic value, we guide discussions toward positive alignment.

6. Acquisition Strategy Development

Taking into account factors such as acquisition price and executive lock-up arrangements, we develop an optimal acquisition strategy. At the same time, we obtain the Information Memorandum (IM) from the seller and ensure that all relevant information is shared accurately and efficiently with stakeholders.

7. Due Diligence & Valuation

We conduct comprehensive due diligence across financial, legal, HR, business, and technology domains to identify risks and key issues. This phase is carried out in collaboration with local professional firms overseas and is quoted separately.

8. Contract Execution

Based on the findings from due diligence, we finalize acquisition terms and support the execution of formal agreements.

9. PMI Support (Post-Merger Integration)

Gesher can support the following three areas through partner collaborations, each quoted separately. For other areas, we introduce specialized PMI consultants. Our primary focus in PMI is (2); (1) and (3) are provided as needed.
(1) Financial & Tax PMI: Supported in collaboration with external professional firms (separately quoted)
(2)Talent Acquisition: We support post-acquisition hiring through recruitment marketing services
(3)Communication Bridge: Acting as a liaison between buyer and seller after acquisition

Through our in-house Marketing DX services, we promote your products and services both domestically and internationally, accelerating sales channel expansion and long-term business growth.

Fee Structure

As we operate as an advisory firm rather than a brokerage, fees are charged to one party only.
■ Success Fee + Sourcing Fee
(No monthly retainer)
■ Contract Period
Determined on a case-by-case basis, depending on factors such as deal size and due diligence scope.
■ Pricing
Sourcing Fee: JPY 500,000 – 1,000,000
Success Fee: Lehman Formula*
※We commit to providing a sourcing list of 10 companies and will regularly introduce additional candidates that meet your requirements.
※The success fee will be calculated using the Lehman Formula and invoiced upon execution of the investment agreement.
※If the calculated success fee is less than JPY 8,000,000 (excluding tax), a minimum fee of JPY 8,000,000 will apply.
※For investments made in foreign currencies, the exchange rate on the contract execution date will be applied to the invoiced amount.
